Terms of service

The agreement between Stagely and each customer, built on the Common Paper Cloud Service Agreement, with subscriptions, refunds and data export.

Effective date: 12 October 2026

These Key Terms and the Common Paper Cloud Service Agreement Standard Terms Version 2.1 (the “Standard Terms”) make up the agreement between Provider and Customer for Stagely. The Standard Terms are © Common Paper, Inc., and are used under CC BY 4.0. These Key Terms do not change their text. Where these Key Terms differ from the Standard Terms, these Key Terms control.

Who can accept these terms

Customer accepts these Key Terms when a person subscribes to a Stagely plan for Customer. That person confirms that they can bind Customer.

Subscriptions

  • Customer’s first subscription starts with a 14-day trial. The trial needs no payment method. If no payment method is on file when the trial ends, the subscription ends.
  • Each subscription renews at the end of each Subscription Period, for a period of the same length, until Customer cancels it.
  • Each renewal costs the price of Customer’s plan at that time. Provider emails Customer at least 30 days before a new price applies to Customer.
  • On Team and Business plans, extra stagelet packs cost extra, as the Billing page shows.
  • Link, LLC adds sales tax or VAT where it applies.
  • To cancel, an admin or owner opens Billing in the console, clicks Manage billing, and cancels the plan in the Stripe billing portal. The subscription ends at the end of the current Subscription Period. Provider does not charge Customer again.

Payments and refunds

Stripe’s Managed Payments service sells Stagely subscriptions on Provider’s behalf. Link, LLC, a Stripe company, charges the Fees and the taxes, and sends receipts and invoices.

Fees are non-refundable, except for:

  • the prorated refunds that the Standard Terms give;
  • refunds that Link, LLC issues under its refund policy;
  • refunds that the law requires.

Changes to the Standard Terms

  1. Machine learning. Section 1.6 (Machine Learning) does not apply. Provider does not use Customer Content or Usage Data to develop or train artificial intelligence or machine learning models.
  2. Logo rights. Provider uses Customer’s name and logo under Section 12.11 (Logo Rights) only with Customer’s written consent.
  3. Open-source Software. Provider publishes the Software in the stagely repository under the Apache License 2.0. That license governs the Software. Sections 1.1 and 2.1 do not limit Customer’s rights under that license.
  4. Customer’s cloud accounts. On Customer’s behalf, the customer agent creates, runs and deletes machines, registries and other resources in Customer’s cloud accounts. Customer is responsible for those accounts and their credentials, and for all charges from its cloud providers.
  5. Changes to these terms. Provider may publish a new version of these Key Terms or of the DPA, or adopt a later version of the Standard Terms. Provider emails Customer at least 30 days before the new version applies. If Customer keeps its subscription after that date, Customer accepts the new version. If Customer does not agree, Customer can cancel before that date.

Switching and data export

This section gives Customer the rights of Chapter VI of the EU Data Act (Regulation (EU) 2023/2854). It applies in addition to Section 5.5 (Effect of Termination). Where the two differ, this section controls.

  1. Request. Customer can ask Provider at any time, by email to the Notice Address, to do one of these:

    • help Customer switch to another provider;
    • help Customer move to its own infrastructure;
    • erase Customer’s exportable data.
  2. Notice period. The transitional period starts within 14 days of Customer’s request.

  3. Transitional period. The transitional period lasts up to 30 calendar days. During it, the Agreement stays in force, and Provider:

    • gives reasonable help to Customer, and to third parties that Customer authorizes;
    • keeps the Cloud Service running, with care to keep Customer’s business running;
    • tells Customer about known risks to that continuity;
    • keeps the data secure.
  4. Longer transition. If 30 days is technically not possible, Provider tells Customer within 14 working days of the request. Provider gives the reasons and an alternative period of at most 7 months. Customer can extend the transitional period once, to a length that suits Customer.

  5. Exit strategy. Provider supports Customer’s exit strategy, and gives all relevant information.

  6. Exportable data. Provider exports this data as JSON files:

    • the account: its name, members, roles and open invitations;
    • environments: their names and settings;
    • projects: their repositories, environments and settings;
    • config: plain values, and the name and key of each secret;
    • stagelets: their states, revisions and deploy history, with each revision’s resolved Compose model;
    • operations: their steps and errors, and the log lines that Provider still keeps.

    This list is also the online register of data structures and formats that Article 26 of the Data Act asks for.

  7. Data that stays with Provider. Provider does not export data that only runs its service: hashes of tokens, sessions and invitation links, enrollment tokens, and the public keys of agents and gateways.

  8. Data that Provider does not hold. Customer’s cloud credentials, secret values, source code, images and stagelets stay in Customer’s own cloud accounts. Provider has no copy to export.

  9. Retrieval period. After the transitional period, Customer has at least 30 calendar days to get its data.

  10. Erasure. After the retrieval period, Provider erases all exportable data. Copies in database backups expire within 7 days.

  11. End of the Agreement. The Agreement ends when the switching process is complete. If Customer only asks for erasure, it ends at the end of the notice period. Provider tells Customer when the Agreement ends.

  12. Charges. Provider charges nothing for switching or for export.
